BIR and SEC Schedule of Filing of 2011 Financial Statements

While everyone is rushing for the completion of their 2011 financial statements, income tax returns and other reportorial requirements this season, we remind everyone to file them early for you to avoid the hassle and trouble of late filing especially with the Bureau of Internal Revenue (BIR) and the Securities and Exchange Commission (SEC).  

As we all know, the deadline for filing with the BIR is on April 15, 2011.  E-filers have 15 days to file their tax returns in their respective RDOs.

The filing dates in 2012 for the December 31, 2011 financial statements as set forth in SEC Memo Circular No. 6, Series of 2011, dated August 15, 2011 are as follows:

All corporations (including branch offices, representative offices, regional headquarters and regional operating headquarters of foreign corporations) that file their FS at the SEC Head Office, Iloilo, Davao and Cebu Extension Offices, with SEC Registration or license numbers ending:

“1”, “2”                          April 16, 17, 18, 19, 20

“3”, “4”                          April 23, 24, 25, 26, 27

“5”, “6”                          April 30, May 2, 3, 4

“7”, “8”                          May 7, 8, 9, 10, 11

“9”, “0”                          May 14, 15, 16, 17,

    1. Hi Allyson! 2 copies! 🙂 You may want to include extra copies. SEC and BIR entertain stamping extra copies before, I just don’t know if such is still acceptable. 🙂

  1. Do the FS for filing with the SEC needs to be certified/received by the BIR?

    Yes. The FS for filing with the SEC must be first stamped with “Received” by the BIR, unless these FS are not required to be filed with the BIR for instance if it is a consolidated financial statement and a separate parent company financial statement is prepared.

  2. Hi everyone, we went through your search terms and noted that there are some who search for “schedule of filing with BIR” or “numerical filing of tax returns”. We’d like to inform you that there is no such in BIR filing. For individuals and estate, the deadline is April 15 and technically, since the deadline for corporations is 15th day of the fourth month following the close of taxable year, it is also April 15 for those with calendar year ending December 31. For schedules, you can file anytime before or on April 15. But to avoid the hassle of filing, we recommend it do earlier.
